CONDITIONS OF ACCESS

PLEASE READ THIS TERMS OF USE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THIS SITE. By using the Site, you agree to be bound by these terms and conditions. If you do not agree to these terms and conditions, please do not use the Site.

PEOPLE.COM SOLUTIONS ("PCS", "COMPANY," "WE," "US") reserve the right at any time to:

a. Change the terms and conditions of this Agreement;

b. Change the Site, including eliminating or discontinuing any content on or feature of the Site, restricting the hours of availability or limiting the amount of use permitted; or

c. Change any fees or charges for use of the Site, including instituting new or increased fees or charges for the use of the Site or any other Site-related services or any feature thereof.

Any changes we make will be effective immediately upon notice, which we may provide by any means including, without limitation, posting on the Site. Your use of the Site after such notice will be deemed acceptance of such changes. Be sure to review this Agreement periodically to ensure familiarity with the most current version.

1. YOUR OBLIGATIONS

In consideration of use of the service, you agree to:

a. provide true, accurate, current and complete information about yourself as prompted by the service's registration form (such information being the "Registration Data") and

b. maintain and promptly update the Registration Data to keep it true, accurate, current and complete.

We assumes no responsibility or liability for any personnel selected by your company. Selection, retention or hire of any individual or entity is based solely on your company's investigation, verification and determination that such hire is suitable for your company's purposes.

Your company agrees to and will hold PCS harmless from any claims, damages or losses incurred by your company or any other party as a result of your use of PCS system.

You agree to comply with all applicable laws, rules and regulations in connection with your use of the Site and Site-related services.

You agree to pay for use of the Site-related services upon invoice after free-of-charge trial period is over.   

If you provide any information that is untrue, inaccurate, not current or incomplete, PCS has the right to suspend or terminate your account and refuse any and all current or future use of the service (or any portion thereof).

2. CODE OF CONDUCT

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not PCS, are entirely responsible for all Content that you upload, post or otherwise transmit via the Service. PCS does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable.

You agree to not use the Service to:

(1) Upload, post, email or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, torturous, defamatory, vulgar, obscene, libelous, invasive of an other's privacy, hateful, or racially, ethnically or otherwise objectionable.

(2) Harm minors in any way.

(3) Impersonate any person or entity, including, but not limited to, a PCS official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity.

(4) Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Service.

(5) Upload, post, email or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).

(6) Upload, post, email or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party.

(7) Upload, post, email or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas (such as shopping rooms) that are designated for such purpose.

(8) Upload, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

(9) Disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges.

(10) Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service.

(11) Intentionally or unintentionally violate any applicable local, state, national or international law

(12) Collect or store personal data about other users.

(13) Use any service (or directory) as storage for remote loading or as a door or signpost to another home page, whether inside or beyond PCS.

(14) Engage in commercial activities. This includes, but is not limited to, the following activities:

· offering for sale any products or services.
· soliciting for advertisers or sponsors.
· conducting raffles or contests that require any type of entry fee.

3. LINKS & DIRECTORIES

PCS provides links on our site to third party Websites to enhance our service to you. We do not control such third-party Websites and are not responsible for the content therein. We do not recommend or endorse particular products, services or Websites of any third parties or make any determination whether any such product, service or Website may be either necessary or appropriate. Use of third-party Websites is at your own risk, and subject to the terms and conditions of use established by those sites.

4. Termination of Service

PCS reserves the right, in its sole discretion, to restrict, suspend, or terminate your access to all or any part of the service, including the Interactive areas, at any time for any reasons without prior notice or liability. We may change, suspend or discontinue all or any aspect of the service at any time, including the availability of any feature, database or content (including the Interactive areas) without prior notice or liability.

5. Liability Indemnity

Your use of the service is at your sole risk. The Service is provided on an "As is " and "As available" basis. PCS expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

PCS makes no warranty that

(i) the service will meet your requirements,
(ii) the service will be uninterrupted, timely, secure, or error-free,
(iii) the results that may be obtained from the use from the use of the service will be accurate or reliable,
(iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and
(v) any error in the software will be corrected

You expressly understand and agree that PCS shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if PCS has been advised of the possibility of such damages), resulting from:

(i) The use or the inability to use the service.
(ii) Unauthorized access to or alteration of your transmissions or data.
(iii) Statements or conduct of any the service, or
(iv) Any other matter relating to the service.

YOUR USE OF THE SITE AND ANY MATERIALS PROVIDED THROUGH THE SITE ARE ENTIRELY AT YOUR OWN RISK.
